Welcome to Restorant. These Terms of Service ("Terms") govern your access to and use of the Restorant platform, including our website, mobile applications, APIs, and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

1. Acceptance of Terms

By creating an account, accessing our platform, or using any part of our Services, you confirm that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and accept these Terms in full.

If you are using the Services on behalf of a business or organisation, you represent that you have the authority to bind that entity to these Terms, and these Terms apply to your organisation.

We reserve the right to update these Terms at any time. Continued use of the Services after changes are posted constitutes acceptance of the updated Terms.

2. Description of Service

Restorant is a multi-tenant Software-as-a-Service (SaaS) platform that enables restaurant businesses ("Restaurant Partners") to create branded digital storefronts, manage their menus, accept online orders, process payments, and use AI-powered business tools.

Restorant also operates a public marketplace at restorant.com where customers can discover and order from listed restaurants.

The features available to each Restaurant Partner depend on their active subscription plan (Starter, Growth, Pro, or Enterprise). We reserve the right to modify, add, or remove features at any time with reasonable notice.

3. Restaurant Owner Responsibilities

As a Restaurant Partner using Restorant, you agree to:

  • Provide accurate and up-to-date information about your business, menu, and prices.
  • Ensure that all food and beverages listed comply with applicable food safety regulations in Nigeria.
  • Maintain valid business licences and permits required by Nigerian law and any applicable state regulations.
  • Honour all orders placed through your storefront in a timely manner.
  • Handle customer complaints and refund requests professionally.
  • Not list prohibited, illegal, or unsafe products or services.
  • Keep your account credentials secure and notify us immediately of any unauthorised access.
  • Ensure that staff and team members you invite comply with these Terms.

You are solely responsible for the content you publish on your storefront, including menu descriptions, images, and pricing. Restorant does not verify the accuracy of restaurant-provided content.

4. Customer Responsibilities

As a customer placing orders through Restorant, you agree to:

  • Provide accurate delivery and contact information when placing an order.
  • Pay for all orders in full at the time of placement.
  • Contact the restaurant directly for any issues with your order in the first instance.
  • Not abuse the dispute or refund process.

5. Payment Terms and Refund Policy

All payments on the Restorant platform are processed by Paystack, a licensed payment service provider. By making a payment, you agree to Paystack's terms of service in addition to these Terms.

Subscription fees for Restaurant Partners are billed monthly or annually in advance and are non-refundable except where required by law. If you cancel your subscription, you will retain access to paid features until the end of your billing period.

Order refunds are handled at the discretion of each Restaurant Partner. Restorant may facilitate the refund process on behalf of the restaurant through Paystack. Refunds may take 5-10 business days to reflect in your account.

Restorant charges a transaction commission of 0.5–1% on each completed order as part of its revenue model. This is separate from the Paystack processing fee.

6. Intellectual Property

The Restorant platform, including its design, software, trademarks, and content created by Restorant, is owned by Brandyeast and protected by applicable intellectual property laws.

You retain ownership of all content you upload to your storefront (logos, photos, menu descriptions). By uploading content, you grant Restorant a non-exclusive, royalty-free licence to display, reproduce, and distribute that content for the purpose of operating and promoting the platform.

You may not copy, modify, distribute, or create derivative works of the Restorant platform without our express written permission.

7. Prohibited Uses

You agree not to use the Services to:

  • Violate any applicable law or regulation.
  • Engage in fraudulent transactions or misrepresent your business.
  • Transmit malicious code, spam, or unsolicited communications.
  • Attempt to gain unauthorised access to other accounts or our systems.
  • Scrape, harvest, or extract data from the platform without permission.
  • Use the Services in any way that disrupts their availability or performance.

8. Limitation of Liability

To the fullest extent permitted by Nigerian law, Brandyeast shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Services, including but not limited to loss of profits, data, or goodwill.

Restorant's total liability to you for any claim arising from these Terms shall not exceed the amount you paid to Restorant in the 3 months immediately preceding the event giving rise to the claim.

We do not warrant that the Services will be uninterrupted, error-free, or free from harmful components. The Services are provided "as is" and "as available."

9. Indemnification

You agree to indemnify and hold harmless Brandyeast, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your use of the Services, your content, or your violation of these Terms.

10. Termination

We reserve the right to suspend or terminate your account at any time if you violate these Terms, engage in fraudulent activity, or your account is used in a manner that causes harm to other users or to Restorant.

You may close your account at any time from the Settings section of your dashboard. Upon termination, your storefront will be taken offline and customer-facing data will no longer be accessible.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes arising from or related to these Terms shall be resolved by the courts of competent jurisdiction in Nigeria.
